Terms of Service for Remote IT Support
Please read these terms and conditions carefully before proceeding with payment.
Introduction
1.1 These terms and conditions (“Terms of Service”) govern the relationship between Prophet Computers, hereinafter referred to as “Provider,” and the customer, hereinafter referred to as “Customer,” for the provision of remote IT support services.
Scope of Services
2.1 The Provider agrees to deliver remote IT support services to the Customer, which include but are not limited to network troubleshooting, system administration, software support, security management, and system backups.
2.2 All services shall primarily be performed remotely, utilizing secure and appropriate means of accessing the Customer’s IT systems, with the prior consent of the Customer.
Payment and Billing
3.1 The Customer agrees to pay the applicable fees for the remote IT support services as detailed on the Provider’s website or as agreed upon in writing.
3.2 Payment shall be made via credit card, or any other payment method accepted by the Provider. By providing credit card information, the Customer authorizes the Provider to charge the specified amount.
3.3 The Customer acknowledges that failure to make timely payment may result in the discontinuation of remote IT support services until payment is received.
Intellectual Property Rights
4.1 The Provider retains all intellectual property rights to any tools, software, or proprietary techniques utilized in the provision of remote IT support services.
4.2 The Customer must not reproduce, distribute, modify, or create derivative works based on the tools, software, or proprietary techniques provided by the Provider, unless explicitly permitted in writing by the Provider.
Customer Responsibilities
5.1 The Customer shall cooperate with the Provider by providing accurate and necessary information to facilitate the provision of remote IT support services.
5.2 The Customer is responsible for the security of their IT systems, including maintaining strong passwords, applying necessary patches and updates, and implementing appropriate security measures.
Limitation of Liability
6.1 The Provider shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data, loss of revenue or profits, or any business interruption arising from the provision of remote IT support services.
6.2 In no event shall the Provider’s total liability exceed the amount paid by the Customer for the specific service(s) giving rise to the claim.
Termination
7.1 Either party may terminate the remote IT support services by providing written notice to the other party.
7.2 The Customer will be responsible for all fees up until the effective date of termination, including any outstanding balances for services provided.
Confidentiality
8.1 Both parties agree to keep confidential any proprietary, sensitive, or confidential information disclosed during the provision of remote IT support services, in accordance with the mutual nondisclosure agreement.
Governing Law and Jurisdiction
9.1 These Terms of Service shall be governed by and construed in accordance with the laws of The State of Texas.
9.2 Any disputes arising from or relating to these Terms of Service shall be subject to the exclusive jurisdiction of the courts in The State of Texas. By proceeding with payment, the Customer acknowledges that they have read, understood, and agreed to these Terms of Service
